No-Trade Clause
1. Product Order
Sk's Acceptance Of The Order Means That Both Sk And The Customer Unconditionally Accept The Following Terms. Prior To Sk's Formal Acceptance, No Order Shall Be Binding On Sk.
(A) Customers Are Not Allowed To Cancel Orders That Have Been Fully Or Partially Accepted By Sk Without Sk's Prior Written Consent. Sk Reserves The Right To Refuse Approval Of Cancellation Requests At Its Absolute Discretion. Unless Sk Provides The Goods Incorrectly Or The Goods Have Defects, Sk Has The Right To Claim Compensation From The Customer And Demand That The Customer Bear All Costs And Expenses Related To The Return Of The Goods, Including But Not Limited To Re Storage Fees, Return Transportation Fees, Labor Fees, And Administrative Management Fees.
(B) Customers Have The Obligation To Carefully Inspect The Goods Before Receiving Them And Notify Sk In Writing (Including Email) Within 24 Hours After Delivery If Any Damage Is Found.
(C) If, Within The Scope Permitted By Law, A Cancelled Order Has Entered A Certain Stage Of Manufacturing, Installation, Or Supply At The Time Of Cancellation And Incurred Corresponding Costs, Even If The Actual Goods Cannot Be Provided In The End, These Costs Will Be Borne By The Customer.
(D) If The Delayed Delivery Is Caused By The Customer's Reasons, Sk Has The Right To Store The Customer's Goods In The Warehouse And Charge The Customer All Storage, Handling Fees, And Any Additional Expenses Incurred Accordingly.
(E) Within The Scope Permitted By Law, Sk Shall Not Be Responsible For Any Expenses Or Claims Arising From The Customer's Failure To Fully Understand The Relevant Documents Or Drawings Of The Goods Or Services.
2. Payment And Interest
(A) According To These Terms And Conditions, All Amounts Payable To Sk Shall Be Fully Paid In Accordance With The Sales Order, Proforma Invoice, Sales Contract, Or Payment Terms That Sk May Notify In Writing.
(B) If Any Amount Payable By The Customer To Sk Is Overdue For More Than 30 Days, Sk Has The Right To Impose A Monthly Interest Of 1.5% On The Amount At Its Discretion, And This Interest Will Be Treated As An Independent Debt. Sk May Demand Immediate Payment From The Customer At Any Time.
3. Pricing
All Prices Are Subject To The Mutually Agreed Upon Price (See Formal Invoice/Sales Contract Or Equivalent Written Document). Without Formal Authorization From Both Parties, Neither Party May Modify The Price Without Authorization.
4. Delivery
Sk Promises To Ship Within The Date Indicated On The Formal Invoice. Although Sk Will Do Its Best To Meet The Delivery Requirements, Sk Shall Not Be Held Responsible For Any Failure Or Delay In Delivery Caused By Force Majeure.
Force Majeure Event: Refers To Any Event That Sk Cannot Reasonably Control Or Foresee, Including But Not Limited To Natural Disasters, Wars, Riots, Strikes, Work Stoppages, Trade Disputes, Equipment Failures, Mechanical Failures, Transportation Interruptions, Government Actions, Or Any Other Similar Reasons.
5. Claims
(A) All Claims Must Be Made In Writing And Delivered To Sk Within Ten Days Of Receiving The Goods.
(B) If Damage To The Goods Is Found, The Customer Must File A Claim With The Carrier Before Receiving The Goods And Clearly Indicate It On The Shipping Documents.
6. Product Features Warranty
The Warranty Period For Specific Characteristics Of Wire Mesh Products Is Two Years From The Date Of Delivery, Provided That They Meet Specific Storage Conditions (Temperature 15-25 ° C, Relative Humidity 30-60%, Avoiding Direct Light/Ultraviolet Radiation). The Warranty Period For Other Products And Products Containing Organic Ingredients Or Components Is Limited By The Specified Service Life Of Such Products.
7. Return Of Goods
(A) Returns Need To Be Communicated With Sk In Advance And Arranged. Only Standard Products Can Be Returned Within Ten Days After Receipt (In Their Original Condition And Sellable), But A Restocking Fee Equivalent To 20% Of The Purchase Price Must Be Paid.
(B) Special Customized Products Do Not Accept Returns.
8. Intellectual Property
All Brands And Intellectual Property Provided By The Customer Shall Belong To The Customer, And Sk Shall Only Use Them In The Performance Of The Services Or Provision Of Goods As Stipulated In These Terms. The Customer Guarantees That The Use Of Sk Will Not Infringe Upon Any Third-Party Intellectual Property Rights. If Sk's Use Of The Brand, Artwork, Or Other Intellectual Property Provided By The Customer Results In Infringement Of Third-Party Intellectual Property Rights, The Customer Shall Bear Full Responsibility And Compensate Sk For All Losses, Expenses, Damages (Including Legal Fees) Suffered As A Result, Whether Direct, Indirect, Or Subsequent In Nature.
9. Images
The Images Displayed On Sk Company's Website, B2b Platform, Sns Promotional Website, Catalog, And All Other Promotional Channels Are For Illustrative Purposes Only And May Have Slight Differences From The Actual Products.
